This contract for the provision of prevention services (hereby referred to as “the contract”) is entered into by and between [Name of Company], a [Type of Company] located at [Address] (hereby referred to as “the provider”), and [Name of Client], a [Type of Client] located at [Address] (hereby referred to as “the client”). The purpose of this contract is to establish the terms and conditions under which the provider will deliver prevention services to the client.
Scope of Work
The provider will deliver prevention services to the client. The prevention services will include, but are not limited to:.
- Assessment of risks and vulnerabilities
- Development of prevention plans
- Implementation of prevention measures
- Training of staff and stakeholders on prevention measures
- Monitoring and evaluation of prevention measures
Duration of the Contract
The contract will commence on [Date] and will remain in effect for a period of [Duration] months, unless terminated earlier by either party in accordance with the terms and conditions set forth herein.
Payment
The client will pay the provider the sum of [Amount] for the delivery of prevention services under this contract. Payment will be made in accordance with the payment schedule set forth in Exhibit A (attached hereto and incorporated by reference).
Intellectual Property
All intellectual property, including but not limited to patents, trademarks, copyrights and trade secrets, created, developed or discovered by the provider in connection with the delivery of prevention services to the client shall be the property of the provider.
Termination
Either party may terminate this contract upon [Notice Period] days written notice to the other party. In the event of termination, the client will pay the provider for all services provided up to the date of termination.
Confidentiality
The provider acknowledges that it will have access to confidential and proprietary information of the client in connection with the delivery of prevention services.
The provider agrees to keep all such information confidential and not to disclose it to any third party without the prior written consent of the client.
Dispute Resolution
Any disputes arising out of or related to this contract shall be resolved through arbitration in accordance with the rules of the American Arbitration Association.
The prevailing party in any such arbitration shall be entitled to recover its costs and attorney’s fees.
Limitation of Liability
In no event shall either party be liable to the other party for any special, indirect, incidental or consequential damages arising out of or in connection with this contract, even if advised of the possibility of such damages.
Governing Law
This contract shall be governed by and construed in accordance with the laws of the State of [State].
